Change of Business Name to Limited company

  • Submit your sole proprietor certificate to the company registry
  • Fill a notice of cessation form to cease your current sole proprietor business
  • Prepare Memorandum and Articles of Association based with information received from entrepreneur such as nature of business, name of the business etc.
  • Prepare a list of the directors and secretary of the company, giving full names, nationality and other directorships of companies in Kenya
  • Prepare a statement of all existing charges entered into by the company affecting properties in Kenya

Company change of Directors & Share Reallocation

  • Preparation of share allocation to the new director(s) and existing directors (if changing)
  • Gathering of documentation eg. Proof of identity documents for the new director(s)
  • Preparation of minutes for Special Resolution meeting for adding new director(s)
  • Preparation of form of transfer of shares duly filled and signed by both parties
  • Filing of annual returns form as required
  • Preparation of application letter to the registrar of companies requesting for CR12
  • Preparation of affidavit of resignation for any outgoing director(s) Obtaining a transfer deed & uploading it to eCitizen application

Registrar Returns

Where a company annual returns are not filed in time, the registrar levies and Penalty on the company. In the event of any changes in the company structure or in case of any business that requires the registrar to register any external documents like charges, mortgages etc., where an annual returns is not filed, the registrar shall not process such requests. The company also risks being struck off the register of companies.

All Limited companies are required by law to file annual returns every year with the Registrar of companies.
